1. About these Terms
These Terms govern your use of the Vidmerce iPhone app, the website at vidmerce.app (including creator storefronts), the brand portal, the Vidmerce app for Shopify and related services (together, the "Service"). By creating an account, connecting a store or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
Some features depend on partners that have not approved us yet. Anything marked “Coming soon” in the app or on our website is not available, and we do not promise when, or whether, it will be.
2. Who can use Vidmerce
You must be at least 18 years old and old enough to enter into a binding contract where you live. The affiliate programs Vidmerce works with only accept adults, so Vidmerce is not for anyone under 18. Vidmerce is built for creators and brands in the United States and Canada. If you use Vidmerce for a business, you confirm that you can bind that business to these Terms.
3. Your account
Creators sign in with Sign in with Apple. If you choose Apple's “Hide My Email”, we only see a relay address. Brand users sign in to the brand portal with an email address and a password, after we invite them.
One person, one creator account. Keep your device, Apple ID and passwords secure: you are responsible for what happens under your account. Tell us promptly at support@vidmerce.app if you think someone else has access.
You can delete your creator account at any time in the app (Me, then Delete account). If you subscribed on our website, deleting your account cancels that subscription. A subscription bought in the app is billed by Apple and is not cancelled by deleting your account: cancel it in your Apple ID settings. Unused credits are lost when you delete your account. Our Privacy Policy explains what we delete and what we keep.
4. How Vidmerce works
Vidmerce helps you pick a product, make a short video about it and post it. In short:
- Quick videos are written and voiced on your iPhone. Standard videos get a script and caption written by AI on our servers and, where available, a premium AI voice. Optional extras include AI-generated scenes, a stock AI presenter and one-click videos, where an AI video model makes the whole clip.
- Your iPhone puts the video together. Clips you pick with “Use my own footage” stay on your iPhone; only the finished video is uploaded.
- Before your first video that uses an outside AI service (Standard, AI scenes, one-click or an AI presenter), the app shows what is sent to which service and asks for your agreement. Quick videos without an AI presenter do not need it. You can change your choice at any time in Me › Settings › AI services.
- You approve each video yourself, one at a time. There is no “approve all”, and Vidmerce never posts a video you have not approved.
- After you approve, we post to the accounts you connected, spaced out: by default at most 3 posts a day per account, at least 2 hours apart (you can allow up to 5). TikTok receives the video as a draft in your TikTok inbox, and you finish the post in TikTok. For Snapchat and the upload helpers (such as Amazon Influencer, Walmart Creator, LTK and ShopMy), Vidmerce hands the video to you and you post it yourself. Where you have not connected an account, we remind you to share the video yourself.
- Your storefront at vidmerce.app/@handle is a public page that shows the products you approved videos for or added to it, with your affiliate links.
5. Credits, plans and payments
Videos and some extras are paid for with credits. Prices and credit amounts are shown in the app and on our pricing page before you buy, and the app shows what a video will cost before you make it.
- Credits have no cash value. They are not money, cannot be exchanged for money, and cannot be sold or transferred to anyone else.
- Subscription credits reset every month, including on yearly plans. Unused subscription credits do not roll over, and they end when your subscription ends.
- Top-up credits do not expire. They stay in your account until you use them or delete your account.
- Reward credits (for referrals, end cards and posting streaks) expire 90 days after each reward. The app shows when they expire, and expired reward credits are removed from your balance.
- The free credits for new accounts are given once per person and once per device, and they do not renew. We use Apple's DeviceCheck service to tell whether an iPhone has already received them.
- Free trials: when the App Store offers a free trial of a plan, you get trial credits during the trial instead of the plan's monthly credits, once per device (we use DeviceCheck to tell). If an iPhone already received trial credits, the trial still works, without trial credits. The plan's monthly credits start with the first paid period, and unused trial credits end with the trial. Unless you cancel at least 24 hours before the trial ends, the subscription renews at the price shown when you started it.
- Free credits and trial credits pay only for quick and standard videos. One-click videos, AI scenes and AI presenters are paid with subscription, reward or top-up credits.
- Credits are used in this order: subscription credits (or trial credits during a free trial), then reward credits (the soonest to expire first), then top-up credits, then free credits. A video made with any free credits carries a Vidmerce watermark.
- If an AI extra fails, or a video cannot be finished, the credits are returned to the balances they came from, except for AI work already delivered (finished AI scenes, presenter clips or one-click clips), which stays paid.
- Posting to X costs credits, because X charges us for each post. The app shows the cost when you choose X. You are charged when the post is sent and refunded if it fails.
Subscriptions renew automatically until you cancel. Subscriptions and credit packs bought in the app are billed and managed by Apple; cancel a subscription in your Apple ID subscription settings. Purchases on our website (United States only, when offered) are processed by Stripe. You can cancel a website subscription online at any time: choose Manage subscription on our checkout pages, which opens Stripe’s secure customer portal (where you can also change your card and see invoices), or write to support@vidmerce.app.
Refunds of in-app purchases are handled by Apple under its policies. For website purchases, contact us. If a purchase is refunded or reversed, we remove the credits it gave you, as far as they are still unused. Nothing in these Terms limits any refund or cancellation right you have under the law where you live.
We may change prices, credit amounts or credit costs going forward. We will give you notice in advance where the law requires it, and a change never affects a billing period you have already paid for.
6. No income guarantee
Vidmerce is a tool for making and posting videos. We do not promise, and nothing in the Service or on our website should be read as promising, that you will earn commission, income, views, clicks or sales. Results vary widely, and many creators earn little or nothing. Examples, screenshots and sample numbers are illustrations only, not typical results.
Vidmerce does not pay you commissions: retailers, affiliate networks and brands pay you directly under their own programs. Commission rates, prices and product details in Vidmerce come from those sources and may be wrong or out of date. Earnings in the app are only what you entered or imported. You are responsible for your own results, business decisions and taxes.
7. Your responsibilities
You are the publisher of everything you approve. In particular, you agree to:
- Disclose your affiliate relationship clearly on every post, and any free product, discount code or other benefit you received from a brand, as required by the U.S. FTC Endorsement Guides, the Canadian Competition Act and Competition Bureau guidance. Vidmerce puts #ad (#pub in French) on its videos and in its captions, but you must check that the disclosure is there and easy to see before you approve a post, and keep it if you edit or repost.
- Only make truthful claims you can back up. No false, misleading or exaggerated claims about a product, including health, safety, performance, price or income claims; no invented scarcity; and no fake reviews or testimonials. Do not describe a personal experience with a product you have not used. Vidmerce's automatic checks block some risky phrases, but they are not legal advice and do not catch everything.
- Only upload photos and clips that you made or have the right to use, and get permission from anyone who can be recognized in them. Do not add music, logos or other material you are not allowed to use.
- Follow the rules of every platform you post to and the terms of every affiliate program you use, including the Amazon Associates Operating Agreement: use your own affiliate tags and IDs, never cloak or redirect Amazon links, and show the disclosures those programs require.
- Review every video, caption, hashtag and link before you approve it.
8. AI-generated content
Vidmerce uses artificial intelligence to write scripts and captions and, when you choose them, to make voices, scenes, presenters and whole one-click videos. AI output can be wrong, incomplete or similar to other content, and AI scenes may not show the real product exactly. Check everything before you post, and never present AI-generated scenes as real footage of the product or of its results.
AI presenters are stock avatars provided by HeyGen. They are not real customers and must never be presented as someone who used the product.
Labels: videos with an AI presenter and one-click videos carry a “Made with AI” label on screen. When a video uses AI scenes, an AI presenter, the premium AI voice or one-click, Vidmerce also turns on the platform's AI setting or adds a “Made with AI” line when it posts for you to YouTube, X, Pinterest, Threads or Bluesky. Everywhere else, including TikTok, Instagram and Facebook, and anywhere you share a video yourself, you must apply the AI label the platform requires. You must also follow any merchant rule against AI images of its products.
9. Product images and media rights
Retailers set strict rules for their product images. Vidmerce follows them, and so must you:
- Catalog images from retailers such as Amazon, Walmart and Best Buy are shown in Vidmerce for display only. They are never put in your videos or sent to an AI model, and you must not work around this, for example by uploading screenshots of them as your own photos.
- You can always use your own photos and clips of a product.
- TikTok Shop seller images, and media a brand has licensed through Vidmerce, can be used in videos and AI scenes within the limits of that licence.
10. Your content and our licence
You keep ownership of what you create or upload, including your photos, your footage and your edits to scripts and captions. You give us a limited, worldwide, non-exclusive, royalty-free licence to host, copy, process, adapt and transmit that content only as needed to run the Service for you: for example to write scripts and voices, send your photos to the AI provider you choose for scenes or one-click videos, store and deliver your videos, show your public storefront and post the videos you approve. This licence ends when the content is deleted, except for copies already posted at your request and records kept as described in our Privacy Policy.
You promise that you have the rights needed to upload your content and to let us use it this way.
Vidmerce is not a backup service. Rendered videos are deleted from our storage 7 days after they are uploaded, so save a copy to your Photos if you want to keep one.
Product names, images and prices belong to their owners and are shown under the rules of the programs they come from.
11. Working with brand partners
Some products are listed by the brands that make them (“Brand partner”). In the app you can ask those brands for a discount code or a free sample.
- A sample request, and a code request if you choose, shares the email address you pick with that brand, only after you agree. The brand uses it to contact you, for example to arrange shipping. You can stop sharing it at any time in the app: the brand then no longer sees it in Vidmerce, but it may keep messages it has already exchanged with you.
- If you post videos about a brand partner’s products or send it a request, it can see your handle and display name, how many videos you posted and storefront clicks you got for its products, the requests you send it and the codes issued to you.
- Discount codes are created by the brand (automatically in its Shopify store, if it connected one) and may be based on your handle.
- Samples, codes and any deal you make with a brand are between you and that brand. Vidmerce does not handle addresses, shipping or payments between you and is not responsible for what a brand does.
- A free sample or a discount code is a benefit you must disclose when you post about that product.
12. Vidmerce for Brands
If you list products as a brand, these Terms also apply to your brand account, the brand portal and the Vidmerce app for Shopify. The brand program is free during the pilot, and we will tell you well before that changes.
Media licence. Before a file you upload or import can be used, someone on your team must accept this licence, shown in English in the portal and quoted here exactly:
“We own these files or have the rights to them, and we allow creators on Vidmerce to use them in promotional videos for this product, including edited and AI-generated scenes.”
We record who accepted it, when, a one-way hash of the IP address it came from, and which version of the text. When you remove a file, it stops being used for new videos and for videos not finished yet; videos creators already published stay where they posted them. Store images imported from Shopify without the licence are shown for display only.
You promise that you have the rights to the media and product information you provide; that your product details, prices, commissions and offers are accurate and lawful; that you will honour the codes and samples you offer; that you will use a creator’s email address only to deal with that creator’s request and in line with anti-spam laws such as CASL; and that you will never ask creators to hide their relationship with you or to make claims they cannot support.
Shopify: if you connect a store, Vidmerce reads your products and creates and reads discount codes. We do not ask for access to your orders or customers, and we only read how many times each creator code was used. You can disconnect at any time in the portal or by uninstalling the app.
We may suspend a brand, which takes its products out of Vidmerce, if it breaks these Terms or puts creators or their audiences at risk.
13. Referrals and the partner program
Each creator account has a referral code. If someone you refer enters your code within 60 days of signing up and later makes their first purchase, you both receive the reward credits shown in the app. Rewards are for real referrals: rewards earned through fake or duplicate accounts can be removed.
Our partner program, which pays partners a share of the purchases they refer, has its own rules (vidmerce.app/partners) and needs our written approval. Partners must never make income claims and must always disclose that they are paid.
14. Prohibited uses
You agree not to:
- break the law, or create or promote unlawful, deceptive, hateful, harassing, sexually explicit, violent or infringing content;
- make income claims or "get rich" or guaranteed-income promises, or send spam;
- use someone else's name, likeness or voice without permission, or pretend to be someone else;
- post to accounts you do not own or are not allowed to manage;
- scrape, copy, reverse engineer, overload or interfere with the Service, or get around credit limits, rate limits, media-rights rules or security measures;
- open several accounts, or reset or disguise devices, to collect free or referral credits, or otherwise abuse promotions;
- use bots or other automation to approve posts or to use the app for you.
To prevent abuse and keep costs under control, we may limit how many videos, AI extras or requests an account can make in a given period, and we cap how much AI work we buy each day. When a limit is reached, you may have to wait to start AI extras, or the AI part of a video in progress can fail; its credits are then refunded.
15. Third-party services
Vidmerce connects to services run by others, such as Apple, TikTok, Meta (Instagram, Facebook and Threads), YouTube, Pinterest, X, Bluesky, Snapchat, Amazon, Impact, Awin, Shopify and Stripe. Connecting an account is your choice, and your use of those services is governed by their own terms. They decide whether to accept, show, limit or remove a post, and we are not responsible for their availability or decisions.
Vidmerce uses YouTube API Services to post to YouTube. By connecting a YouTube account, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).
16. Suspension and termination
You can stop using Vidmerce at any time. We may suspend or end your access if you break these Terms or the law, if your use puts the Service or other people at risk, or if we stop offering the Service. If we end your account for a reason other than your breach, we will tell you and, where the law requires it, refund amounts you prepaid for the period you can no longer use. Sections that by their nature should continue (for example ownership, licences already granted, disclaimers, liability and governing law) survive termination.
17. Disclaimers
The Service is provided "as is" and "as available". We do not promise that it will be uninterrupted or error-free, that a platform will accept or keep your posts, that AI output will be accurate, or that any product, price or commission rate shown is accurate at the moment you read it. Nothing in these Terms excludes a warranty or right that the law does not allow us to exclude.
18. Limitation of liability
To the extent the law allows, Vanillapha and its directors, employees and suppliers are not liable for indirect, incidental, special or consequential damages, or for lost profits, commissions, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and CAD $100.
Some places, including Quebec, do not allow certain limits, for example for intentional or gross fault or for injury to a person. In those cases the limits apply only as far as the law permits.
19. Changes to these Terms
We may update these Terms. If a change is material we will tell you in the app or by email before it takes effect, and where required by law we will ask for your agreement. If you keep using the Service after the effective date, you accept the updated Terms.
20. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Ontario have exclusive jurisdiction over disputes about these Terms, except that nothing here takes away any right you have under the mandatory consumer laws where you live, including the right of Quebec consumers to bring a claim before the courts of their place of residence.
Language: English and French versions of these Terms are provided. If they differ, the French version applies to residents of Quebec.
21. Apple App Store
If you downloaded the app from the App Store: these Terms are between you and Vanillapha, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support for it, and is not responsible for claims about it (such as product liability, legal compliance or intellectual property claims). If the app does not meet a warranty that applies, you may tell Apple, and Apple may refund the price you paid for the app, if any; to the extent the law allows, Apple has no other warranty obligation. You confirm that you are not in a country under a U.S. government embargo and not on a U.S. government list of restricted parties. Your use of the app must also follow the App Store’s terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
